Welcome to the Datagrid AI, Inc. (“Datagrid”) Website (the “Website”). Please review the following notices, terms and conditions concerning your use of the Website. By accessing, using or downloading any materials from the Website, you agree to follow and be bound by these notices, terms and conditions (the “Terms”). If you do not agree with these Terms, please do not use this Website.
1. General Use Provisions
Unless otherwise indicated, the Website and all content and other materials on the Website, including, without limitation, the Datagrid logo and all designs, text, graphics, pictures, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, the “Website Materials”) are the proprietary property of Datagrid or its licensors or users and are protected by U.S. and international copyright laws.
You are granted a limited, non-sublicensable license to access and use the Website and the Website Materials solely for informational, non-commercial and personal use. Such license is subject to these Terms and does not include: (a) any resale or commercial use of the Website or the Website Materials therein; (b) the collection and use of any product listings, pictures or descriptions; (c) the distribution, public performance or public display of any Website Materials; (d) modifying or otherwise making any derivative uses of the Website and the Website Materials, or any portion thereof; (e) use of any data mining, robots or similar data gathering or extraction methods; (f) downloading (other than the page caching) of any portion of the Website, the Website Materials or any information contained therein, except as expressly permitted on the Website; or (g) any use of the Website or the Website Materials other than for their intended purposes. Any use of the Website or the Website Materials other than as specifically authorized herein, without the prior written permission of Datagrid, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time.
You shall be solely responsible for your own Website Materials and the consequences of posting or publishing them. In connection with Website Materials, you affirm, represent and warrant that you own or have the necessary licenses, rights, consents and permissions to use and authorize Datagrid to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Website Materials to enable inclusion and use of the Website Materials in the manner contemplated by the Website and these Terms.
2. User Information
Other than personally identifiable information, which is covered by the Datagrid Privacy Policy, any material, information or other communication you transmit, upload or post to this Website (“Communications”) will be considered non-confidential and non-proprietary. Datagrid will have no obligations with respect to the Communications. Datagrid and its designees will be free to copy, disclose, distribute, incorporate and otherwise use the Communications and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.
You are prohibited from posting or transmitting to or from this Website any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law.
3. Registrations and Passwords; Conduct
If any of the services on the Website require you to open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a username. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Datagrid immediately of any unauthorized use of your account or any other breach of security. Datagrid will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Datagrid or another party due to someone else using your account or password.
You may not use anyone else's account at any time, without the permission of the account holder. You agree that your use of the Website will not include (a) sending spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (b) sending or storing infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or that violates third-party privacy rights; (c) sending or storing material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (d) interfering with or disrupting the integrity or performance of the Website or the data contained therein; or (e) attempting to gain unauthorized access to the Website or its related systems or networks.

The Website may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Datagrid and Datagrid is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Datagrid is not responsible for webcasting or any other form of transmission received from any Linked Site. Datagrid is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Datagrid of the Linked Site or any association with its operators.
5. Inappropriate Material
You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material, or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. Datagrid will fully cooperate with any law enforcement authorities or court order requesting or directing Datagrid to disclose the identity of anyone posting any such information or materials. Datagrid reserves the right to remove any content that violates these Terms at its sole discretion.
6. Customer Reviews
In these Terms, “your content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to the Website, for whatever purpose. You grant to Datagrid a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your content in any existing or future media. You also grant to Datagrid the right to sub-license these rights, and the right to bring an action for infringement of these rights.
Your content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or Datagrid or a third party (in each case under any applicable law). Datagrid reserves the right to edit or remove any material submitted to the Website, or stored on Datagrid's servers, or hosted or published upon the Website.
Notwithstanding Datagrid's rights under these Terms in relation to your content, Datagrid does not undertake to monitor the submission of such content to, or the publication of such content on, the Website.
7. Software Use Restrictions
Any software that is made available to download from the Website (“Software”) is the copyrighted work of Datagrid and/or its suppliers. Use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software (“License Agreement”). An end user will be unable to install any Software that is accompanied by or includes a License Agreement, unless the end user first agrees to the License Agreement terms. Except as set forth in the applicable License Agreement, any further copying, reproduction or redistribution of the Software is expressly prohibited. Installation assistance, product support and maintenance, if any, of the Software is available from Datagrid and/or its suppliers.
8. Submissions
Unless otherwise explicitly stated, any materials you provide, including any data, questions, comments, suggestions, ideas, graphics, or the like regarding Datagrid products and services (collectively “Submissions”), shall be deemed to be and shall remain the property of Datagrid. None of the Submissions shall be subject to any obligation of confidence on the part of Datagrid, and Datagrid shall not be liable for any use or disclosure of any Submissions. Without limitation of the foregoing, Datagrid shall exclusively own all now known or hereafter existing rights to the Submissions of every kind and nature throughout the universe and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions.

THE MATERIALS IN THIS WEBSITE ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, DATAGRID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. DATAGRID DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE MATERIALS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 11. Export Control
The United States controls the export of products and information. You agree to comply with such restrictions and not to export or re-export the Website Materials to countries or persons prohibited under the export control laws. By downloading the Website Materials, you are agreeing that you are not in a country where such export is prohibited and that you are not on the U.S. Department of Commerce's Table of Denial Orders or the U.S. Department of Treasury's list of Specially Designated Nationals. 12. Governing Law
These Terms are to be governed by and construed in accordance with the internal laws of the State of California, without regard for principles of conflicts of laws. Subject to the Dispute Resolution section below, Excluded Disputes and Disputes (defined below) that cannot be arbitrated must be brought exclusively in the state and federal courts sitting in Los Angeles County, California.
13. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Negotiations. The parties will first attempt in good faith to promptly resolve any disputes arising out of or relating to these Terms (or the breach, termination, enforcement, interpretation, or validity thereof) (each a “Dispute”) by negotiation between representatives of each party with the authority to resolve such Dispute informally for at least thirty (30) days before initiating any arbitration. Informal negotiations begin upon written notice from one party to the other. You will send notice to Datagrid AI, Inc. (a subsidiary of Procore Technologies, Inc.), 6309 Carpinteria Ave., Carpinteria, CA 93013 USA, Attention: Chief Legal Officer. Datagrid will send notice to you at your address in our records or by email to the email address provided by you in connection with your use of the services.
Binding Arbitration. If the parties are unsuccessful in resolving the Dispute through informal negotiations, such Dispute will be submitted to final and binding arbitration. Arbitration will be conducted in English and administered as follows: (i) if in the U.S., by the American Arbitration Association (AAA) under its rules or (ii) if outside the U.S., by the International Centre for Dispute Resolution (ICDR) in accordance with the International Arbitration Rules then in effect. For more information, see www.adr.org. Except as required by law, neither party nor its representatives may disclose the existence, content, or results of any arbitration without the other party’s prior written consent.
The arbitrator is not empowered to award damages in excess of compensatory damages and each party hereby irrevocably waives any right to recover such damages with respect to any Dispute resolved by arbitration. The decision of the arbitrator will be in accordance with these Terms and will be binding upon the parties. Each party hereby waives any right it may otherwise have under the laws of any jurisdiction to any form of appeal. Judgment upon the award rendered may be entered in and enforced by any court of competent jurisdiction having jurisdiction over both parties. The arbitrator rules on his or her own jurisdiction, including the arbitrability of any claim; however, a court has exclusive authority to enforce the prohibition on arbitration on a class-wide basis or in a representative capacity. These Terms govern if there is a conflict with the AAA or the ICDR rules as applicable.
Excluded Disputes. Notwithstanding the foregoing, neither party is required to arbitrate claims: (1) where all named parties seek monetary relief which, in the aggregate, qualifies as a claim that meets the requirements of an applicable small claims court; (2) seeking injunctive relief; or (3) seeking to enforce or protect, or concerning the validity of, any of your or Datagrid’s intellectual property rights. However, if a small claim is transferred, removed, or appealed to a different court, either party may require that the claim be submitted to final binding arbitration.
Restrictions/No Class Actions. THE PARTIES AGREE THAT ANY CLAIM BROUGHT IN CONNECTION WITH A DISPUTE, WHETHER RESOLVED THROUGH ARBITRATION OR OTHERWISE, WILL TAKE PLACE ON AN INDIVIDUAL BASIS. THE PARTIES WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION, AND THE RIGHT TO A TRIAL BY JURY. UNLESS BOTH YOU AND DATAGRID AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Severability. If the Restrictions/No Class Actions section is found to be illegal or unenforceable as to all or some parts of a dispute, then those parts will not be arbitrated but will be resolved in a court of competent jurisdiction, with the balance resolved through arbitration.
If any provision of this Dispute Resolution section is found to be illegal or unenforceable, then that provision will be severed; however, the remaining provisions will still apply and shall be interpreted to as nearly as possible achieve the original intent, inclusive of the severed provision.
Survival. This Dispute Resolution section will survive any termination of these Terms or your use of the services.
14. General
Datagrid may revise these Terms at any time by updating this posting. You should visit this page from time to time to review the then-current Terms because they are binding on you. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages at this Website.
These Terms, together with the Privacy Policy and any other legal notices published by Datagrid on the Website, shall constitute the entire agreement between you and Datagrid concerning the Website. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Datagrid's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
